Terms of Service

1. Order of Precedence

In the event of a conflict between these Terms and any signed agreement between you (or your organization) and Nebulous LLC, the signed agreement shall control. The order of precedence is:

1. Signed Master Services Agreement or individual client contract
2. Signed Statement of Work or Order Form
3. These Terms of Service

Nothing in these Terms shall be construed to limit or modify any rights or obligations established in a signed agreement with Nebulous LLC.

2. Acceptance of Terms

By accessing and using our Services, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

3. Description of Services

StrataForge provides AI-powered blueprint analysis, HVAC Manual J heat load calculations, and report generation tools. The specific scope of services will be outlined in separate agreements or statements of work with our clients.

4. User Accounts

You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

5. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our Services
• Reverse engineer or extract source code
• Share your account credentials with unauthorized users

6. Intellectual Property

All content, features, and functionality of our Services are owned by Nebulous LLC or our licensors and are protected by intellectual property laws. Your uploaded blueprints and business data remain your property; we claim no ownership of content you upload to our platform.

7. Confidentiality

We treat your blueprints, building data, and generated reports as confidential. We will not share your data with third parties except as necessary to provide our Services or as required by law. Specific confidentiality terms may be outlined in separate agreements.

8. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability and will provide notice when possible.

9. Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN SEPARATE WRITTEN AGREEMENTS, OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HVAC CALCULATIONS ARE PROVIDED FOR QUOTING PURPOSES AND SHOULD NOT REPLACE PROFESSIONAL ENGINEERING DESIGN.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEBULOUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES.

11. Termination

We reserve the right to suspend or terminate your access to our Services at any time for violation of these Terms. Upon termination, your right to use the Services will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the “Last Updated” date. Your continued use constitutes acceptance of the updated Terms.
